Welcome to Perfect Shot Studies. These Terms of Service ("Terms") govern your access to and use of our website, applications, and AI image generation services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.

1. Eligibility & Account Registration

• Age Requirement: You must be at least 18 years old (or the age of majority in your jurisdiction) to use our Service.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or use.

2. Description of Service

Perfect Shot Studios provides an AI-powered image transformation tool that allows users to upload original product photos ("Source Content") and generate high-resolution, studio-quality composite images ("Generated Images").

3. User Content & Source Uploads

• Ownership of Source Content: You retain all ownership rights to the original photos, trademarks, product designs, and logos you upload to the Service.
• License to Us: By uploading Source Content, you grant us a worldwide, non-exclusive, royalty-free license to host, process, reproduce, modify, and display your Source Content solely for the purpose of operating, providing, and improving the Service for you.
• Representations & Warranties: You represent and warrant that:
  • You own or have the necessary licenses, rights, and permissions to upload and use the Source Content.
  • Your Source Content does not infringe upon any third-party copyright, trademark, privacy, or intellectual property rights.

4. Output & Intellectual Property Rights

• Ownership of Generated Images: Subject to your compliance with these Terms, Perfect Shot Studios assigns to you all of its right, title, and interest in and to the Generated Images produced for your account. You may use Generated Images for commercial and non-commercial purposes.
• AI Output Disclaimer: Due to the nature of machine learning and generative artificial intelligence:
  • Non-Uniqueness: Outputs generated for other users may be similar or identical to your Generated Images. You do not acquire rights over outputs generated for other users.
  • Product Accuracy: AI generation may occasionally produce visual artifacts, inaccuracies, or distortions. You are solely responsible for reviewing Generated Images before using them in commercial listings, advertising, or marketing. We are not liable for any misrepresentation claims arising from inaccurate product depictions.

5. Acceptable Use Policy

You agree not to use the Service to upload, generate, or distribute content that:

• Is unlawful, defamatory, libelous, fraudulent, obscene, or hateful.
• Infringes upon any copyright, trademark, trade secret, or other proprietary rights.
• Contains weaponized, dangerous, sexual, or illegal products/goods.
• Depicts real human individuals without their explicit written consent.
• Impersonates any person or entity or falsely states an affiliation with a person or entity.

You also agree not to reverse engineer, decompile, scrape, or attempt to extract the source code or underlying algorithms of our AI models and platform.

6. Subscriptions, Fees, and Payments

• Billing: Access to certain features or generation limits requires a paid subscription or credit purchase. You agree to pay all applicable fees displayed at checkout.
• Refunds: All purchases and subscription renewals are final and non-refundable, except as required by applicable law or explicitly stated in our Cancellation Policy.
• Price Changes: We reserve the right to change our prices at any time upon notice provided through the Service or via email.

7. Service Availability & Changes

We continuously update and optimize our platform. We reserve the right to modify, suspend, or discontinue any feature, AI model, or aspect of the Service at any time without prior notice or liability to you.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PERFECT SHOT STUDIOS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE GENERATED IMAGES WILL MEET YOUR SPECIFIC COMMERCIAL REQUIREMENTS OR BE ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PERFECT SHOT STUDIOS, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR GENERATED IMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless Perfect Shot Studios from and against any claims, damages, obligations, losses, liabilities, costs, or debt (including attorney's fees) arising from:

• Your use or misuse of the Service.
• Your violation of these Terms.
• Your infringement of any third-party right, including intellectual property or privacy rights, via your Source Content or commercial deployment of Generated Images.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the US, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in [Insert County/City, State/Country].
